These Terms of Service ("Terms") govern your use of the website at ironsidedisposal.com, our SMS text messaging program, and the advisory services provided by Ironside Disposal LLC ("Ironside," "we," "us," or "our"). By using our website or services, you represent and warrant that you are 18 years of age or older. Our services are intended for businesses and adult business owners; they are not directed to individuals under 18.
Ironside Disposal LLC is an independent commercial waste cost-reduction advisory. We review commercial waste invoices and service contracts, identify potential overcharges and unfavorable terms, and — where authorized — communicate and negotiate with waste service providers on a client's behalf. We are an advisory firm. We are not a waste hauler, and we are not affiliated with any waste hauler.
Description of SMS Program and Messaging Use Cases. Ironside Disposal LLC operates an SMS text messaging program for the purpose of providing transactional communications to clients and prospective clients. Use cases include: appointment confirmations and reminders for consultation calls, follow-up communications after a phone consultation, requests for documents (such as invoices and contracts) needed to complete a waste-cost audit, and notifications when a waste-cost audit is complete. Messages are one-to-one and conversational in nature; we do not send mass promotional campaigns.
How to Opt In. You may opt in to receive SMS messages from Ironside Disposal LLC in two ways: (1) by providing your mobile number verbally during a phone call with our staff and agreeing to receive follow-up text messages; or (2) by submitting the contact form at https://ironsidedisposal.com and checking the SMS consent checkbox, which is unchecked by default and optional.
Instructions to Opt Out — Text STOP. You may opt out of SMS messages at any time by replying STOP, END, CANCEL, UNSUBSCRIBE, or QUIT to any message you receive from us. After you reply STOP, you will receive a confirmation message acknowledging your opt-out, and we will not send you any further SMS messages.

Message Frequency. Message frequency varies based on your active engagement with Ironside. Most recipients receive only a small number of transactional messages per audit cycle.
Message and Data Rates Disclosure. Message and data rates may apply. Standard messaging rates from your wireless carrier apply to all SMS communications. Ironside does not charge a fee for SMS messages, but your carrier's standard message and data rates will apply based on your wireless plan.
Carrier Liability Disclaimer. Wireless carriers (including AT&T, T-Mobile, Verizon, Sprint, U.S. Cellular, and others) are not liable for delayed or undelivered messages. Ironside is not responsible for any delays, failures, technical issues, or non-delivery caused by your wireless carrier, mobile device, or network. Carriers may impose their own message rates and limitations.
Consent Is Not a Condition of Purchase. You are not required to opt in to SMS messages to use our services, request information, or purchase anything from Ironside. Consent to receive text messages is not a condition of purchasing any product or service.
Privacy and No Sharing. Your participation in our SMS program is also governed by our Privacy Policy. We do not sell, rent, lease, or share your mobile phone number, SMS opt-in information, or consent records with any third parties or affiliates for marketing or promotional purposes. Mobile information will not be shared with third parties for marketing or promotional purposes under any circumstances.
Eligibility for SMS Program. Our SMS program is intended only for individuals 18 years of age or older.
While we work to identify and secure cost savings for our clients, we do not guarantee any specific savings amount, percentage, or outcome. Any savings estimates, projections, or ranges we provide are good-faith estimates based on the information available to us and are not promises of a particular result. Actual results depend on factors outside our control, including the terms of a client's existing contracts and the willingness of service providers to modify pricing.
The specific scope, fee structure, and terms of any engagement are set out in a separate written agreement between Ironside and the client. Unless otherwise agreed in writing, our advisory work is provided on a contingency basis — our fee is a percentage of the savings we deliver, and is owed only where savings are realized. The website does not by itself create an engagement or contractual relationship.
To perform our services, we rely on information provided by the client, including invoices, contracts, and account details. The client is responsible for providing accurate and complete information. The client retains final decision-making authority over their accounts; we do not sign contracts, cancel services, or make payments on a client's behalf without the client's specific written authorization and approval.
Where a client authorizes us to act on their behalf — for example, through a signed Letter of Authorization — that authorization is limited to the actions described in it. We will not share a client's confidential contracts or documents with a competing service provider. All material decisions remain subject to the client's approval.
You agree to use our website only for lawful purposes. You may not attempt to disrupt the website, gain unauthorized access to our systems, or use the website to transmit harmful or unlawful content. The content on our website is provided for general informational purposes and does not constitute legal, financial, or professional advice.

To the fullest extent permitted by law, Ironside Disposal LLC is not liable for any indirect, incidental, consequential, or special damages arising from your use of our website, services, or SMS program. Our total liability for any claim relating to our services will not exceed the fees actually paid to us by the client for the engagement giving rise to the claim. We are not liable for any acts or omissions of wireless carriers or for any delayed or undelivered SMS messages.
You agree to indemnify and hold harmless Ironside Disposal LLC from claims, losses, or expenses arising from your breach of these Terms or your misuse of our website, services, or SMS program.
These Terms are governed by the laws of the State of Michigan, without regard to its conflict-of-law principles. Any dispute relating to these Terms or our services will be subject to the jurisdiction of the state and federal courts located in Michigan.
We may update these Terms from time to time. The "Last updated" date reflects the most recent revision. Continued use of our website, services, or SMS program after changes are posted constitutes acceptance of the updated Terms.
